1. Agreement to These Terms
Welcome to www.iteropus.com (the “Site”) and any related services offered by Iter Opus Corporation (“we,” “us,” “our,” “Iter Opus”). These Terms of Service (“Terms”) govern your access to and use of the Site, and any related software, services or features (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Services.
We may update these Terms from time to time in our discretion. If we do, we will post the revised Terms here with a new “Last updated” date. Your continued use of the Services after the update constitutes your acceptance of the revised Terms.
2. Definitions
“User,” “you,” or “your” means the individual or entity that uses the Services.

“Account” means a user account you create to access the Services (if applicable).
3. Eligibility; Account Registration
You must be at least eighteen (18) years old or of legal age in your jurisdiction to form a binding contract to use the Services. If you register for an Account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately at info@iteropus.com of any unauthorized use of your credentials or any other security breach.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes (or as otherwise permitted).
4.2 Prohibited Uses
You agree not to:
Use the Services for any unlawful purpose or in violation of applicable law.
Attempt to gain unauthorized access to the Services, other users’ accounts, or other systems or networks.
Use automated scripts or bots to access or use the Services.
Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

Use the Services to harass, defame, infringe or violate the rights of any other party.
5. Intellectual Property
All Content and Services (including software, user interface, graphics, design, compilation, and underlying code) are owned by Iter Opus, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret and other intellectual property laws. Except for the limited license above, no right, title or interest in the Services or Content is transferred to you. You may not use our trademarks, logos or service marks without our written permission.
6. Feedback
If you provide us any suggestions, ideas or feedback (collectively, “Feedback”) relating to the Services, you hereby assign to us all rights in such Feedback. You agree that we are free to use and exploit such Feedback without any attribution, compensation or obligation to you.
7. Fees and Payment (if applicable)
If you purchase any paid features of the Services, you agree to pay all applicable fees and any taxes specified. Payment obligations are non-cancelable and fees paid are non-refundable unless otherwise stated. We may change our fees or payment terms at any time, but will provide notice of any material change.
8. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and without liability to you. Upon termination or suspension, you must cease all use of the Services and destroy any downloaded or printed Content obtained through the Services, unless we specify otherwise. Sections 4 (Use), 5 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (General Provisions) survive termination.
9. Disclaimers
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ITER OPUS, ITS AFFILIATES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.
11. Indemnification
You agree to defend, indemnify and hold harmless Iter Opus, its affiliates and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your Content; or (d) your violation of any rights of another party or applicable law.
12. Governing Law; Dispute Resolution
These Terms and any dispute arising out of or related to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Deleware, United States, without regard to conflict of laws principles. You agree that any legal action or proceeding between you and Iter Opus arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Rochester, New York, and you consent to personal jurisdiction and venue in those courts.
13. Changes to the Services
We reserve the right to modify, suspend or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension or discontinuation.
14. Entire Agreement; Severability; Waiver
These Terms (together with any other policy or terms referenced herein) constitute the entire agreement between you and Iter Opus regarding the Services and supersede all prior or contemporaneous agreements, proposals or communications. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
